Robinhood Markets, Inc. has announced an agreement to acquire the global cryptocurrency exchange Bitstamp Ltd. Established in 2011, Bitstamp has offices in Luxembourg, the UK, Slovenia, Singapore, and the US.

The acquisition is expected to accelerate the global expansion of Robinhood Crypto. Bitstamp holds over 50 valid licenses and registrations worldwide, attracting customers from the EU, UK, US, and Asia to join Robinhood's platform.

Entering the institutional-grade crypto arena

This acquisition marks Robinhood's entry into institutional business, leveraging Bitstamp's reputation in reliable trade execution, deep order books, and leading API connections. Bitstamp's institutional products include white-label solution Bitstamp-as-a-service, institutional lending, and proof of equity, providing Robinhood with established relationships and industry-leading products.

Bitstamp's core spot exchange offers over 85 tradable assets, as well as products like proof of equity and lending, enhancing Robinhood's cryptocurrency offerings.

Pending regulatory approval

The final transaction amount is expected to be approximately $200 million in cash, subject to customary purchase price adjustments. The acquisition is awaiting regulatory approval and other transaction conditions, expected to be completed in the first half of 2025.

Barclays Capital Inc. serves as Robinhood's exclusive financial advisor, while Galaxy Digital Partners LLC advises Bitstamp.
