SEC gets verdicts on three defendants in insider trading case
The Securities and Exchange Commission has been granted a review of Joseph-DuPont (Joseph M..Dupont) and Stanley Kaplan (Stanley Kaplan), who were each charged with insider trading offences.。
The U.S. Securities and Exchange Commission (SEC) has obtained a complaint against the defendant Joseph DuPont (Joseph M..Dupont) and Stanley Kaplan's verdict。
Prior to that, on 9 August 2023, Judge Marrero made a complaint against the defendant, Jarett G..Mendoza, who was also charged with insider trading in Podora securities, issued a consent judgment.。
The SEC filed a lawsuit on June 29, 2023, alleging that while serving as vice president of Alexion Pharmaceuticals, DuPont knowingly or frivolously leaked confidential information to a close friend about Alexion's expected May 2020 announcement of a tender offer for Portola.。
According to the SEC's allegations, the close friend used the information to trade and then passed the information on to Kaplan and Mendoza, who also profited from it.。Portola's shares rose more than 130% on the day the acquisition was announced。
On September 15, 2023 and September 19, 2023, DuPont and Kaplan each pleaded guilty to federal criminal charges of securities fraud in a parallel criminal proceeding in the District Court for the Southern District of New York.。Previously, on June 28, 2023, Mendoza pleaded guilty to securities fraud and related charges.。
DuPont, Kaplan and Mendoza all agreed to a judgment prohibiting them from violating sections 10 (b) and 14 (e) of the Securities Exchange Act of 1934 and related rules 10b-5 and 14e-3.。In addition, they are prohibited from serving as executives or directors of public companies.。The District Court will decide at a later date whether to take any pecuniary remedy against these defendants.。
